1. Acceptance of Terms

By downloading, installing, or using Voice Creator Pro ("the App"), developed by Mortar Tribe, a division of Maker Night Incorporated (collectively referred to as "the Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. You must be at least 18 years of age to use the App. If you do not agree to these terms or do not meet the age requirement, do not use the App. We reserve the right to update these terms at any time, and your continued use of the App constitutes acceptance of any changes.

2. Description of Service

Voice Creator Pro is an AI-powered voice cloning and text-to-speech application for Windows and macOS. The App allows you to create voice clones from audio samples and generate speech using those clones. All processing is performed locally on your device.

3. License and Usage

Upon purchase, you are granted a non-exclusive, non-transferable license to use Voice Creator Pro on your personal device(s) in accordance with these terms. You may:

• Use the App for personal, educational, and commercial projects
• Create and use voice clones for content creation, accessibility, and other lawful purposes
• Store and use generated audio files for any lawful purpose consistent with these terms

4. Prohibited Uses

You agree not to use Voice Creator Pro to:

• Clone someone's voice without their knowledge and consent
• Create content intended to deceive, defraud, or impersonate others
• Generate audio for harassment, threats, defamation, or any unlawful purpose
• Produce content that violates any applicable laws or regulations
• Reverse engineer, decompile, or disassemble the App or its underlying models
• Redistribute, sublicense, or resell the App or any of its components

5. Intellectual Property

Voice Creator Pro's original code, design, and branding are the intellectual property of Mortar Tribe and Maker Night Incorporated, and are protected by applicable copyright and intellectual property laws. The App utilizes open source AI models, which remain subject to their respective open source licenses.

You retain full ownership of any audio content you create using the App. We claim no rights over your voice samples, generated audio, or any other content you produce.

6. User Responsibility

You are solely responsible for how you use Voice Creator Pro and any content you create with it. You must ensure that your use of the App complies with all applicable local, national, and international laws and regulations. You are responsible for obtaining any necessary consents before cloning another person's voice.

7. Indemnification

You agree to indemnify, defend, and hold harmless Mortar Tribe, Maker Night Incorporated, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use or misuse of the App; (b) any content you create, store, or distribute using the App; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation, or any third-party rights including intellectual property or privacy rights.

8. Purchases and Refunds

Voice Creator Pro is available for purchase through the Microsoft Store, itch.io, and the Mac App Store. All purchases are subject to the refund policies of the respective platform. We do not process payments directly and cannot issue refunds outside of the platform's policies. Please refer to the Microsoft Store, itch.io, or Mac App Store refund policies for more information.

9. Disclaimer of Warranties

Voice Creator Pro is provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, uninterrupted, or that the results of voice cloning will meet your specific requirements. The quality of voice clones may vary depending on the input audio quality and hardware capabilities.

10. Limitation of Liability

To the maximum extent permitted by law, Mortar Tribe, Maker Night Incorporated, and their respective officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to damages resulting from unauthorized or unlawful use of voice clones, misuse of generated content, or any violation of these Terms by the user. Our total liability shall not exceed the amount you paid for the App.

11. Termination

We reserve the right to revoke your license to use Voice Creator Pro if you violate these Terms of Service. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections 5, 6, 7, 9, 10, and 12 shall survive any termination of these Terms.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the App after changes are posted constitutes acceptance of the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Maker Night Incorporated is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved exclusively in the courts of that jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms of Service constitute the entire agreement between you and the Company regarding your use of the App, and supersede all prior agreements, representations, and understandings.
